Business Structuring
We advise on various options and produce documents for a range of both public and private business structures for trading and investment purposes. This advice is often given in conjunction with your accountants at the start of business or on the restructuring of your business. Our early intervention regularly optimises tax, stamp duty and asset protection outcomes.
Business structures which we commonly create include companies (public and private), trust (discretionary, fixed and hybrid), joint ventures (incorporated and unincorporated) and partnerships (limited and unlimited).
Amongst other things, our team members have:
- performed due diligence, advised on compliance, structured, negotiated and documented joint ventures, including one of South Australia’s largest commercial oyster farms (between the owners of developed and undeveloped oyster leases); and a waste water treatment plant (between the plant operator, the land owner and the waste producer)
- undertaken a major restructure of a prominent South Australian company to facilitate it undertaking a joint venture with a multi-national company. The restructure involved high level tax considerations, asset transfers, share sales, equity subscriptions and a joint venture agreement
- structured, advised upon, documented and completed the merger of two independent electrical wholesalers to form one of Australia’s largest independent electrical wholesalers
